TERMS OF SERVICE

Thank you for using Argos! These Terms of Service ("Terms") govern your use of Argos's software and services. Please read them carefully. By accessing or using Argos, you agree to be bound by these Terms.
If you are using Argos on behalf of an organization, you are agreeing to these Terms for that organization and confirming that you have the authority to bind it. "Customer" or "you" refers to the organization or person using the Services. "Argos," "we," and "us" refers to Argos, Inc.
1. Overview of Services
Argos is a web-based legal operations platform that provides enterprise customers with tools for matter management, AI-assisted legal analysis, and outside counsel collaboration. Argos includes document storage, billing/spend tracking, and integrations with third-party services such as OpenAI and email providers.
You may access the Services only through an executed enterprise agreement and subject to these Terms.
2. Eligibility & Customer Obligations
To use the Services, you must:
- Be an employee, contractor, or authorized representative of a legal entity that has entered into a contract with Argos;
- Use the Services solely for internal business operations;
- Comply with applicable laws and regulations, including those related to legal privilege, data privacy, and client confidentiality.
You may not:
- Use the Services to provide legal services to third parties;
- Attempt to reverse engineer, copy, or create derivative works of the Services;
- Use the Services to develop or train AI models or systems;
- Use the Services in any way that violates applicable law or regulation.
3. Customer Data
"Customer Data" means all content, documents, communications, metadata, usage logs, and other information submitted to the Services by or on behalf of Customer, including attachments and user inputs.
Argos does not use Customer Data to train machine learning models, including models provided by Argos or third-party providers. Customer Data remains the property of Customer. Argos processes Customer Data solely to provide and improve the Services under Customer's direction and in accordance with these Terms.
4. AI-Powered Features
Argos includes AI-assisted functionality, including (but not limited to) categorization, summarization, drafting assistance, and legal risk analysis. These features are powered by third-party foundational models, including those provided by OpenAI.
AI-generated outputs are assistive in nature. Argos does not provide legal advice, and AI outputs should not be relied upon as substitutes for independent legal analysis by qualified professionals. You are solely responsible for reviewing and validating all AI-generated results before acting on them.
Some features may transmit prompts and content to third-party model providers (e.g., OpenAI) for processing. These interactions are governed by strict confidentiality and data-handling agreements.
5. Beta Features
Argos may offer access to Beta Features or experimental integrations. These features:
- May be subject to additional terms or limitations;
- Are provided "as is" and without any service-level commitments;
- May be modified, suspended, or discontinued at any time without notice.
Customer agrees to use Beta Features at its own discretion and assumes all risk associated with such use.
6. Security & Compliance
Argos maintains industry-standard administrative, physical, and technical safeguards designed to protect the confidentiality, integrity, and availability of Customer Data. This includes:
- SOC 2 Type II certification (in process or completed);
- Encryption at rest and in transit;
- Role-based access controls.
Argos will notify Customer promptly upon becoming aware of any unauthorized access or disclosure of Customer Data, consistent with our legal obligations.
7. Third-Party Services
The Services may integrate with third-party tools such as email providers, OpenAI, or document storage platforms. These integrations are provided for convenience only and are subject to the terms and privacy policies of the third-party providers.
Argos is not responsible for any acts or omissions of third-party services and does not guarantee their availability or functionality.
8. Fees & Payment
Unless otherwise agreed in your enterprise contract, Argos is provided on a subscription basis. Fees are invoiced annually in advance. Overage or usage-based charges may apply for certain features or seat tiers.
Late payments may be subject to finance charges or service suspension. All fees are non-refundable unless otherwise stated in a master services agreement (MSA).
9. Term & Termination
These Terms remain in effect for as long as you have an active enterprise agreement with Argos.
Either party may terminate Services:
- In accordance with the terms of the MSA;
- Upon material breach that remains uncured for 30 days following written notice;
- If required by law or regulation.
Upon termination:
- Customer's access to the Services will cease;
- Argos will return or delete Customer Data in accordance with our data retention policies, unless required to retain it for legal reasons.
10. Confidentiality
Each party agrees to protect the other's Confidential Information with the same degree of care it uses to protect its own (but no less than reasonable care). Confidential Information includes Customer Data, pricing, business plans, technical details, and non-public information.
Confidentiality obligations survive the termination of these Terms for a period of five (5) years.
11. Intellectual Property
Argos retains all rights, title, and interest in and to the Services, including all underlying technology, software, and interfaces.
Customer grants Argos a non-exclusive license to use Customer Data solely for the purpose of providing the Services, including to detect and prevent abuse, maintain uptime, and fulfill contractual obligations.
Customer may not remove, alter, or obscure any proprietary notices in the Services.
12. Disclaimers
The Services are provided "as is", without warranties of any kind, express or implied. Argos specifically disclaims any warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
Customer acknowledges that:
- The Services are not a substitute for professional legal advice;
- Argos does not guarantee the accuracy of AI-generated results;
- Use of AI features carries inherent limitations and should be independently verified.
13. Limitation of Liability
To the maximum extent permitted by law:
- Argos's aggregate liability to Customer will not exceed the total fees paid by Customer in the 12 months preceding the claim;
- Argos will not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.
14. Indemnification
Customer agrees to indemnify and hold harmless Argos and its affiliates, officers, and employees from any claims, damages, or liabilities arising from:
- Customer's breach of these Terms;
- Use of the Services in violation of applicable laws or third-party rights;
- Unauthorized or unlawful use of AI-generated content.
15. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated in advance. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
16. General
- Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in San Francisco County, California.
- Assignment: Customer may not assign these Terms without Argos's prior written consent.
- Entire Agreement: These Terms, along with any applicable MSA, constitute the entire agreement between Customer and Argos.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
